Terms of Service

These terms explain the rules for using Lexium Studio and the responsibilities that apply when you prepare, schedule, or distribute content through connected platforms.

Agreement and operator

These Terms of Service form a binding agreement between you and Lexium Industries Ltd, the operator of Lexium Studio (“Lexium,” “we,” “us,” or “our”). They govern your access to lexium.cc and the related video preparation, workflow, scheduling, channel connection, and distribution services (the “Service”).

By creating an account or using the Service, you confirm that you have read and accepted these Terms and our Privacy Policy. If you use the Service for a business or another person, you confirm that you have authority to bind them.

What Lexium provides

Lexium helps creators inspect and prepare video files, configure publishing workflows, connect supported third-party channels, and submit or schedule content for delivery. Some integrations may send a draft that you must review and complete inside the destination platform.

Features may be released gradually and depend on provider approval, API availability, account eligibility, quotas, storage configuration, and destination-platform rules. A saved workflow or automation draft is not a guarantee that content will be published.

Eligibility and accounts

You must be at least 18 years old and legally capable of entering this agreement. You must provide accurate account information, maintain control of your sign-in account, and promptly notify us at security@lexium.cc if you suspect unauthorized access.

You are responsible for activity performed through your account and for confirming that each connected social account, channel, or page belongs to you or is one you are authorized to manage.

Your content and permissions

You retain ownership of videos, captions, titles, schedules, and other material you provide. You grant Lexium a limited, non-exclusive, worldwide license to host, copy, inspect, encode, transform, transmit, and display that material only as needed to operate, secure, and improve the Service and carry out your instructions.

You represent that you have all rights, permissions, releases, and licenses required for your content and its publication. You remain responsible for copyright, music, publicity, privacy, advertising, disclosure, and other legal obligations relating to your content.

Acceptable use

You must not use the Service to:

  • upload or distribute unlawful, infringing, deceptive, abusive, or harmful material;
  • impersonate another person or connect an account without authorization;
  • send spam, coordinate artificial engagement, or evade platform enforcement;
  • bypass moderation, watermarking, access controls, usage limits, or security measures;
  • introduce malware, probe infrastructure, scrape the Service, or disrupt other users; or
  • use the Service in a way that violates a connected platform’s terms or policies.

We may reject content, limit processing, suspend workflows, or disable an account when reasonably necessary to protect users, providers, Lexium, or the public.

Connected platforms

TikTok, YouTube, Instagram, Facebook, Google, and other connected services are independent third parties. Lexium is not endorsed by or affiliated with them unless expressly stated. Their separate terms, privacy policies, community rules, API limits, and content decisions apply to your use of their services.

We do not control whether a provider accepts, processes, transcodes, recommends, restricts, removes, or monetizes content. Lexium does not promise to bypass provider review, moderation, compression, or distribution systems.

Availability and changes

We may modify, suspend, or discontinue features to address security, legal, provider, or operational requirements. We may impose reasonable storage, file-size, rate, or usage limits. We will try to provide notice when a material change is reasonably foreseeable, but urgent changes may take effect immediately.

You should retain independent copies of important content. Lexium is not a permanent archive or backup service unless a separate written agreement expressly says otherwise.

Lexium intellectual property

The Service, software, interface, branding, documentation, and related technology are owned by Lexium or its licensors. Except for the limited right to use the Service under these Terms, no intellectual-property rights are transferred to you. Feedback may be used without restriction or payment, provided we do not identify you publicly without permission.

Suspension and termination

You may stop using the Service at any time and may request account deletion by emailing privacy@lexium.cc. You can revoke a platform connection through Lexium where that control is available or directly through the provider.

We may suspend or terminate access for a material breach, unlawful conduct, security risk, non-payment under a future paid plan, provider requirement, or repeated harm to the Service. Provisions that by their nature should survive termination will continue to apply.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Lexium will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, content, audience reach, or business opportunity.

Lexium’s aggregate liability arising from the Service will not exceed the greater of the amount you paid Lexium for the Service during the twelve months before the event giving rise to the claim or US$100. This limit does not apply where liability cannot legally be limited.

Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Before filing a claim, you agree to contact legal@lexium.cc and allow thirty days for an informal resolution attempt.

Subject to any mandatory consumer protections that apply to you, courts with jurisdiction in Lagos State, Nigeria will have exclusive jurisdiction over disputes arising from these Terms or the Service.

General terms and contact

If part of these Terms is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, restructuring, or transfer of the Service.

We may update these Terms by posting a revised version and changing the effective date. Material changes will be communicated through the Service or by email where appropriate. Questions may be sent to legal@lexium.cc.
